• Where you evaluate or license the Pouch API, or any of our other products or services, those are provided under a separate written agreement, including a Master Services Agreement and, where personal data is processed, a Data Processing Agreement. Those documents govern the supply of our products and services and prevail over these terms in relation to that supply.

We may amend these terms from time to time. Every time you wish to use our site, please check these terms to ensure you understand the terms that apply at that time. The date at the top of these terms tells you when they were last updated.

We may update and change our site from time to time, for example to reflect changes to our products, to our users' needs, or to our business priorities. We will try to give you reasonable notice of any major change.

We may suspend or withdraw our site

Our site is made available free of charge. We do not guarantee that our site, or any content on it, will always be available or be uninterrupted. We may suspend, withdraw, or restrict the availability of all or any part of our site for business and operational reasons. We will try to give you reasonable notice of any suspension or withdrawal.

You must not conduct, facilitate, authorise, or permit any text or data mining or web scraping in relation to our site, or any content or services provided via it. This includes using, or permitting, authorising, or attempting to use:

• any robot, bot, spider, scraper, or other automated device, program, tool, algorithm, code, process, or methodology to access, obtain, copy, monitor, or republish any part of the site or any content or data available through it;
• any automated analytical technique aimed at analysing text and data in digital form to generate information, including patterns, trends, and correlations.

We reserve our rights in respect of our site and its content, including under applicable intellectual property and database law. This restriction does not apply to indexing by a general-purpose search engine where we permit it.

The content on our site is provided for general information about Pouch and our products only. It is not intended to amount to advice on which you should rely. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of the content on our site.

Although we make reasonable efforts to keep the information on our site up to date, we make no representations, warranties, or guarantees, whether express or implied, that the content on our site is accurate, complete, or current.

Pouch provides software and infrastructure only. Nothing on our site is, or is intended to be, financial, investment, legal, or regulated advice, or a financial promotion. Pouch is not authorised or regulated by the Financial Conduct Authority or any other financial services regulator, and does not hold any e-money, payment-institution, or other regulated-activity permission. Pouch is not an account information service provider or a payment initiation service provider, does not provide any open-banking, account-information, or payment-initiation service, and is not an agent of, and does not rely on, any open-banking aggregator.

We are not responsible for websites we link to

Where our site contains links to other sites and resources provided by third parties, these links are provided for your information only. Such links should not be interpreted as approval by us of those linked websites or of any information you may obtain from them. We have no control over the contents of those sites or resources.

Our responsibility for loss or damage suffered by you

We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence, or the negligence of our employees, agents, or subcontractors, and for fraud or fraudulent misrepresentation.

Our site is directed at business users. We exclude all implied conditions, warranties, representations, or other terms that may apply to our site or any content on it.

Subject to the first paragraph of this section, we will not be liable to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with use of, or inability to use, our site, or use of or reliance on any content displayed on our site. In particular, we will not be liable for any loss of profits, sales, business, or revenue, business interruption, loss of anticipated savings, loss of business opportunity, goodwill, or reputation, or any indirect or consequential loss or damage.

Any liability arising from the supply of the Pouch API or our other products or services is dealt with exclusively under the separate written agreement for that supply, and not under these terms.

How we may use your personal information

We handle personal data in accordance with our Privacy Policy, available at https://www.pouchlimited.com/privacy/, which describes how personal data is processed in connection with the Pouch API. Any personal data you provide to us through our site, for example when you contact us or request a demonstration, is handled in accordance with applicable data protection law.

We are not responsible for viruses, and you must not misuse our site

We do not guarantee that our site will be secure or free from bugs or viruses. You are responsible for configuring your information technology, computer programs, and platform to access our site, and you should use your own virus-protection software.

You must not misuse our site by knowingly introducing viruses, trojans, worms, logic bombs, or other material that is malicious or technologically harmful. You must not attempt to gain unauthorised access to our site, the server on which our site is stored, or any server, computer, or database connected to our site. You must not attack our site by means of a denial-of-service attack or a distributed denial-of-service attack. By breaching this provision you may commit a criminal offence under applicable computer-misuse laws. We will report any such breach to the relevant law enforcement authorities, and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our site will cease immediately.

Which country's laws apply to any disputes

These terms of use, their subject matter, and their formation are governed by the laws of England and Wales. You and we both agree that the courts of England and Wales will have exclusive jurisdiction.

Pouch is a trade mark of Pouch LTD. You are not permitted to use it without our approval. Other product, service, and company names referenced on our site may be the trade marks of their respective owners.
